Effective Date: This agreement becomes effective upon the download, purchase, or acquisition of the "Grand Throne Room" Unreal Engine 5 Asset Pack (the “Asset Pack”).

Introduction

This Personal License Agreement (the “Agreement”) governs the terms under which individuals or sole proprietors (the “Licensee”) are allowed to access, use, and modify the "Grand Throne Room" Unreal Engine 5 Asset Pack, created and distributed by HORSEMEN FOUR PRODUCTIONS (OPC) PRIVATE LIMITED (“Licensor”). This Agreement applies specifically to individuals or entities generating less than $100,000 USD annually in total gross revenue from commercial activities.

By acquiring or using the Asset Pack, the Licensee agrees to comply with the terms outlined in this Agreement.

License Scope and Applicability

Commercial Use for Individuals (Under $100,000 USD Annual Revenue)

The Personal License grants the Licensee the right to use the Asset Pack for commercial purposes, provided that:

The total gross revenue earned from all the Licensee’s business activities is less than $100,000 USD annually.

This allows individuals to use the Asset Pack in small-scale commercial projects such as:

Indie games, apps, or digital media produced for sale or distribution.
Freelance work in animation, film, or interactive experiences.
Monetized content creation such as YouTube videos, Twitch streams, and promotional materials.

Rights Granted under this Agreement:

Use and Modification: The Licensee may modify the Asset Pack to fit their project needs (e.g., adjusting textures, models, or assets).
Product Distribution: The Licensee is permitted to sell, distribute, or publicly release their final product, which includes modified or unmodified versions of the Asset Pack, provided their annual revenue remains below the $100,000 USD threshold.

Personal License Restrictions

The following restrictions apply:

No Redistribution or Resale: The Licensee is not permitted to resell, redistribute, or repackage the Asset Pack or any derived products as standalone assets.
The Licensee cannot share the Asset Pack with any third parties who are not part of the Licensee’s business, even if they are collaborators on a project.
If the Licensee’s project involves collaborating with a studio, team, or business that crosses the $50,000 USD revenue threshold, they must upgrade to an appropriate Commercial License.
Revenue Threshold: If the Licensee’s gross revenue exceeds $100,000 USD annually at any point, they must transition to an upgraded license appropriate for their revenue level.

Ownership and Copyright

The original Asset Pack, including all associated files, models, textures, and materials, remains the intellectual property of the Licensor. Under this Agreement, the Licensee receives a non-exclusive, non-transferable, revocable license to use the Asset Pack according to the terms outlined here.

No ownership rights or title to the Asset Pack are transferred to the Licensee under this license. All rights not expressly granted to the Licensee remain with the Licensor, including but not limited to all intellectual property rights, trademarks, and copyrights.

Prohibited Uses

Under this Agreement, the following uses of the Asset Pack are strictly prohibited:

Sub-licensing or Reselling: The Licensee may not resell, redistribute, or sublicense the Asset Pack (either in its original form or in a modified form) independently of the end product it is integrated into.
Sharing with Unauthorized Parties: Licensees are not permitted to share the Asset Pack or make it available to any third party who has not purchased or licensed it, except in the context of integrated products as defined.
Unlawful Content: The Asset Pack may not be used in unlawful, defamatory, obscene, or morally offensive projects or in any way that infringes on third party rights.

Modifications and Derivatives
The Licensee is authorized to make Personalizations or modifications to the Asset Pack, including altering textures, geometry, or other elements for incorporation into their project. However, these modifications are subject to the following conditions:

Ownership of Modifications remains with the Licensor. Even if modifications are made, the altered asset still falls under the terms of this Agreement.

Restrictions on Redistribution: Modified versions of the Asset Pack may not be sold, distributed, or otherwise shared in asset marketplaces or as part of standalone product offerings. However, they may be included in Licensee's final commercial products (i.e., games, simulations, or films).

Fees and Payments

This Personal License requires a one-time payment at the point of sale. Upon payment, the Licensee is granted a perpetual right to use the Asset Pack under this Agreement, provided:

The Licensee’s gross annual revenue does not exceed $100,000 USD.

Should the Licensee’s gross revenue exceed $100,000 USD annually, they are required to upgrade to an appropriate license that covers higher revenue projects.

Breach and Termination

The Licensor retains the right to terminate this Agreement under the following circumstances:

If the Licensee fails to abide by the conditions set forth in this Agreement.

If there is any unauthorized redistribution, sublicensing, or reselling of the Asset Pack.

The Licensee’s failure to acquire a Commercial License when their project meets or exceeds the $100,000 USD revenue condition.

Upon termination, the Licensee must immediately cease to use the Asset Pack and destroy all copies, files, and related materials.

Limitation of Liability

The Asset Pack is provided "as-is" without any warranties. The Licensor shall not be held liable for any claims, damages, or other liabilities that arise from the use or inability to use the Asset Pack, including but not limited to economic loss, loss of data, or system malfunctions. The Licensee assumes all risks associated with the integration and use of the Asset Pack in their projects.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Kerala, India, without regard to its conflict of law provisions.

Amendments

The Licensor reserves the right to make amendments, modifications, or updates to this Agreement at any time. Any changes will be communicated to existing Licensees, and it is the Licensee’s responsibility to review any updates. Continuing to use the Asset Pack after updated Agreements are issued will constitute acceptance of the revised terms.

Acknowledgment

By purchasing, downloading, or using the "Grand Throne Room" Unreal Engine 5 Asset Pack, you acknowledge and agree to the terms and conditions of this Personal License Agreement.
